- Acceptance of Terms
By accessing or using the services provided by Cognitive Atom Private Limited, hereinafter referred to as “the Company,” you agree to be bound by these Terms and Conditions. If you do not agree to all of these terms, please do not use our services. - Service Overview
Cognitive Atom Private Limited, based in Chennai, Tamil Nadu, India, offers a range of IT services, including but not limited to software development, web design, IT consulting, and maintenance. - Client Responsibilities
a. The client agrees to provide accurate and complete information required for the successful execution of the services.
b. The client is responsible for ensuring the legality of the content and materials provided to the Company for use in the services. - Service Delivery
a. The Company will make reasonable efforts to deliver services within the agreed-upon timelines.
b. Delays caused by factors beyond the Company’s control, including but not limited to force majeure events, will not be considered a breach of contract. - Payment Terms
a. Payment for services is due as per the agreed-upon terms outlined in the project proposal or invoice.
b. Late payments may incur additional charges or result in the suspension of services. - Intellectual Property
a. All intellectual property rights, including copyrights, patents, and trademarks, related to the services provided by Cognitive Atom Private Limited shall remain the property of the Company unless otherwise agreed upon in writing.
b. The client retains ownership of their pre-existing intellectual property and grants the Company the necessary rights to use it to provide services. - Confidentiality
a. Both parties agree to keep confidential any proprietary or sensitive information shared during the engagement.
b. Cognitive Atom Private Limited may disclose client information to third-party contractors solely to provide the agreed-upon services. - Termination
a. Either party may terminate the engagement with written notice in the event of a material breach by the other party.
b. Termination does not relieve the client of the obligation to pay for services rendered up to the termination date. - Limitation of Liability
Cognitive Atom Private Limited shall not be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with the use of its services. - Governing Law
These Terms and Conditions shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these terms shall be subject to the exclusive jurisdiction of the courts in Chennai, Tamil Nadu. - Contact Information
